Acceptable Use Policy

This Acceptable Use Policy (“Policy”) governs your use of all of the software and services offered by Seek Data LLC (the “Services”) and our website(s), including https://seekinsights.com/ (the “Seek Site”). We may modify this Policy by posting a revised version on the Seek Site. By using the Services or accessing the Seek Site, you agree to the latest version of this Policy. 

In connection with your use of the Service:

You must:

  • comply with our Terms of Service[1], including the terms of this Policy;

  • comply with all applicable laws and governmental regulations, including, but not limited to, all intellectual property, data, privacy, and export control laws, and regulations promulgated by any government agencies, including, but not limited to, the U.S. Securities and Exchange Commission, and any rules of any national and other securities exchanges;

  • upload and disseminate only data to which you own all required rights under law and under contractual and fiduciary relationships (such as proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements) and do so only consistent with applicable law;

  • use commercially reasonable efforts to prevent unauthorized access to or use of the Services and the Seek Site;

  • keep passwords and all other login information confidential;

  • monitor and control all activity conducted through your account in connection with the Services;

  • promptly notify us if you become aware of or reasonably suspect any illegal or unauthorized activity or a security breach involving your accounts, including any loss, theft, or unauthorized disclosure or use of a username, password, or account;

  • comply in all respects with all applicable terms of the third party applications, including any that you elect to integrate with the Services that you access or subscribe to in connection with the Services; and

  • ensure that the email address associated with your account remains current and valid (i.e., that you maintain ongoing access to the inbox and are able to receive important notices at, and send messages from, that email address), and update the email address associated with your account as necessary.

You may not, and may not allow any third party, including, without limitation, your employees, agents, or contractors, to use the Services or the Seek Site:

  • unless you and/or any such third party is authorized to access and use the Services and/or the Seek Site;

  • for any illegal or fraudulent activity;

  • to violate the rights of others, including, without limitation, intellectual or proprietary rights;

  • to upload to, or transmit from, the Services and/or the Seek Site any data, file, software, or link that contains or redirects to a virus, Trojan horse, worm, or other harmful component or a technology that unlawfully accesses or downloads content or information stored within the Seek Site, the Services, or on our hardware or the hardware of any third party;

  • to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Services and/or the Seek Site (including any mechanism used to restrict or control the functionality of the Services and/or the Seek Site), any third party use of the Services and/or the Seek Site, or any third party data contained therein (except to the extent such restrictions are prohibited by applicable law);

  • in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics;

  • as a managed service provider;

  • to threaten, incite, promote, or actively encourage violence, terrorism, or other serious harm;

  • for any content or activity that promotes child sexual exploitation or abuse;

  • to distribute, publish, send, or facilitate the sending of unsolicited mass email or other messages, promotions, advertising, or solicitations (or “spam”);

  • in any manner that violates any applicable industry standards, third-party policies or requirements that we may communicate to you and/or your users;

  • in connection with web scraping, web crawling, web monitoring, or other similar activity

  • in a manner that would disparage us;

  • in violation of any of the terms set forth in the Terms of Service[1]; or

  • in any manner which would permit, enable, induce, or encourage any third party to do any of the above.

Investigation and Enforcement

We may investigate any suspected violation of this Policy, and remove or disable your access to the Services, the Seek Site, and/or any content or resource that violates this Policy. Any violation of this Policy will be considered a material breach of the Terms of Service[1] governing the use of the Services. You agree to cooperate with us to remedy any violation. 

When determining whether there has been a violation of this Policy, we may consider your ability and willingness to comply with this Policy, including the policies and processes you have in place to prevent or identify and remove any prohibited content or activity.
